And Conditions
(Schedule of Fees) |

| 1. |
The terms and conditions hereinafter
mentioned shall apply for personnel on temporary placement
with the Client for a specified contract period (which
may be extended by mutual agreement). |

Prior to the commencement of
assignments, the Client will be asked to agree fees, either
on an hourly or monthly basis. Weekly Timesheets will
be kept by our personnel on temporary placements and Client
will be asked to sign for the time deployed at the end
of each week. In addition to the above time fee, the Client
will be required to reimburse directly to our personnel,
all travelling, hotel or other expenses incurred by our
staff in pursuance of the Client's business. |

Invoices will be submitted
to the Client with supporting Weekly Timesheets at the
end of each calendar month. Payment is required to be
made within 14 days from the date of the invoice. Kingsforce
reserve the right to charge financing costs at the rate
of 2% per month on all invoices not paid within the 14
days stipulated payment period. |

Temporary personnel provided
by Kingsforce are under a Contract of Employment and Kingsforce
take responsibility for the proper payment to the personnel
(except for expenses as detailed in paragraph 2 above).
Payments to our personnel including any benefit entitlements,
insurance for Workmen Compensation, CPF contributions
as required by law and medical / annual leave entitlements
will be made monthly. For avoidance of doubt, no reduction
shall be made to the agreed monthly rate for non-working
days gazetted by the Government or declared by the Client. |

The direction, supervision
and control of the temporary personnel placed with the
Client is the responsibility of the Client for the duration
of the assignment of the Kingsforce personnel. Therefore
Kingsforce do not accept any liability for any loss, damage,
expenses arising from the act, omission or negligence,
dishonesty, misconduct or lack of skills in respect of
the assigned personnel. Kingsforce will however undertake
from time to time jointly review with our Client, the
performance of the assigned temporary personnel to ensure
reasonable standards of skill, integrity and reliability. |

| 6. |
Temporary personnel are deemed
to be under the direction and control of the Client from
the time he/she reports to work until completion of the
service. Moreover, the Client undertakes and agrees to
be responsible for all acts, errors and omissions, be
they wilful, negligent or otherwise, as though the temporary
personnel were on the payroll of the Client and the Client
will in all respects comply with statutory and legal requirements
to which the Client is ordinarily subject to in respect
of the Client's own staff save for the matters specifically
mentioned in paragraph 4 above. |

| 7. |
Should the personnel
be transferred to permanent or direct employment with
the Client within 180 days following the date of our introduction
or the end of assignment whichever is later, then; (i)
The Client agrees to notify Kingsforce immediately of
such event; and (ii) The Client shall pay Kingsforce a
one-time service fee of 80% of the total monthly salary,
payable upon commencement of the employment and within
14 days from date of our invoice. |

The
Client shall deem to have accepted the above terms and
conditions set out above by virtue of the use of Kingsforce
services. |
